Terms of Service
Last updated: October 8, 2026
1. Operator and scope
These Terms of Service ("Terms") govern access to and use of Clientder, operated by Ox Industry UG (haftungsbeschränkt), Döteberger Straße 25, 30926 Seelze, Germany ("Clientder", "we", "us"). By creating an account or otherwise using Clientder, you agree to these Terms.
Clientder is provided exclusively for business use. It is intended for entrepreneurs and businesses ("Unternehmer" within the meaning of § 14 of the German Civil Code, BGB) acting in their trade, business, or profession, and is not directed at consumers.
2. Eligibility and account registration
You must be able to form a binding contract to use Clientder on behalf of yourself or an organization. You can register using email/password, Google sign-in, or a phone number verified by a one-time SMS code. You are responsible for the accuracy of the information you provide when creating and maintaining your account.
3. Organizations/workspaces
Accounts operate within an organization ("workspace"). Members of the same organization can access shared data within that workspace, such as saved leads, lists, and exports created by any member. Whoever administers an organization is responsible for managing who has access to it.
4. The service
Clientder helps you search for and evaluate companies that may be a good fit as clients for your product or service, based on criteria you provide (such as what you sell, target client type, industry, and location), and lets you save results, organize them into lists, and export them.
Search results are generated from a combination of third-party business data, web sources, and automated, AI-assisted evidence extraction. Clientder does not guarantee that any company or contact information shown is complete, accurate, current, or suitable for your purposes. You are responsible for independently verifying company and contact information before relying on it or acting on it — including before making contact.
5. Acceptable use
You agree not to use Clientder to:
- violate any applicable law or regulation;
- send unsolicited, spam, or abusive communications to companies or individuals found via Clientder;
- scrape, resell, or systematically extract data from Clientder outside of the normal use of its export functionality;
- attempt to interfere with, disrupt, or gain unauthorized access to Clientder or its infrastructure;
- misrepresent your identity or your authority to act on behalf of an organization.
If you use information obtained through Clientder to contact companies or individuals (for example by email, phone, or SMS), you are solely responsible for complying with all applicable marketing, telemarketing, and data protection laws that apply to that outreach, including GDPR and any applicable e-privacy/anti-spam rules.
6. Account security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at team@clientder.com if you suspect unauthorized use of your account.
7. Plans, quotas, and billing
Clientder is offered under different plans with different features and usage quotas (such as the number of searches included). Current plans, pricing, and quotas are described in the application itself and may change over time; the in-app pricing and account pages are the authoritative source for current plan details. Paid plans are billed via our payment processor, Stripe, on the billing interval you select at signup or upgrade.
8. Cancellation and account deletion
Cancelling a plan. You may cancel a paid plan at any time from your account settings (Billing & Plan → Manage subscription); cancellation takes effect as described in the application at the time of cancellation. Cancelling a plan does not delete your account, and you do not need to delete your account to stop your subscription from renewing.
Deleting your account. Deleting your account is a separate action, and it cannot be undone. If you delete your account, or ask us to delete it:
- your access to Clientder ends;
- an active paid subscription is cancelled as part of the deletion;
- unused paid time is not automatically refunded, prorated, credited or reimbursed, except where mandatory law requires it or we have agreed otherwise with you in writing;
- your searches, saved leads, lists and similar workspace data are erased as described in our Privacy Policy;
- invoices, payment records and other records that we must keep under statutory accounting and tax rules, and limited security and accountability records, may be kept as described in our Privacy Policy, and billing records may also remain with our payment provider, Stripe.
An unresolved billing matter may prevent self-service account deletion until it is resolved — for example an overdue or unpaid payment, an open invoice, a pending balance, or billing information we cannot verify at that moment. In that case your request is not started and nothing is deleted; contact us at team@clientder.com and we will help.
This section does not create any refund entitlement beyond what is separately confirmed to you at the time of purchase or cancellation, or required by applicable law.
9. Availability and maintenance
We aim to keep Clientder available and operating correctly, but we do not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable for maintenance, updates, or reasons outside our control, including the availability of third-party providers Clientder relies on.
10. Third-party services and data sources
Clientder relies on third-party infrastructure and data providers (including hosting, authentication, payment, communications, and business-data/AI providers) to operate. We are not responsible for the availability, accuracy, or content of third-party services, or for the underlying accuracy of business data sourced from third parties.
11. Intellectual property
Clientder, including its software, design, and underlying technology, is owned by or licensed to Ox Industry UG (haftungsbeschränkt) and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use Clientder for your own business purposes in accordance with these Terms. You may not copy, modify, reverse-engineer, or create derivative works of Clientder itself.
12. Your data
You retain ownership of the data you or your organization enter into Clientder (such as saved leads, lists, and search criteria). You grant us the right to process that data as necessary to provide the service to you, as described in our Privacy Policy. What happens to your data when you delete your account is described in Section 8 and in our Privacy Policy.
13. Limitation of liability
To the extent permitted by applicable law, Clientder is provided on an "as is" and "as available" basis, without warranties of any kind regarding the completeness, accuracy, or fitness for a particular purpose of search results or other data provided through the service. Our liability for damages is limited as follows: we are liable without limitation for damages caused intentionally or by gross negligence, and for damages arising from injury to life, body, or health. For damages caused by ordinary negligence, we are only liable in the event of a breach of a material contractual obligation (a "Kardinalpflicht", i.e. an obligation whose fulfillment is essential to the proper performance of the contract and on whose observance you may regularly rely), and in that case our liability is limited to the foreseeable damage typical for contracts of this kind. This limitation does not affect any liability under mandatory statutory provisions, including the German Product Liability Act (Produkthaftungsgesetz).
14. Suspension and termination
We may suspend or terminate your access to Clientder if you materially breach these Terms, including the acceptable-use restrictions in Section 5, or if required to do so by law. You may stop using Clientder and, if applicable, cancel your subscription or delete your account as described in Section 8, at any time.
15. Changes to the service and these Terms
We may change or update Clientder's features over time, and may update these Terms to reflect changes to the service or applicable law. We will update the "Last updated" date above when we do. Continued use of Clientder after changes take effect constitutes acceptance of the updated Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a merchant (Kaufmann) within the meaning of the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for any dispute arising from or in connection with these Terms is the registered seat of Ox Industry UG (haftungsbeschränkt) in Seelze/Hannover, Germany, to the extent permitted by mandatory law.
